Claudia McDowell, of counsel to the firm, has more than 30 years of experience in corporate, securities and commercial law and is highly skilled and experienced in mergers and acquisitions and transactional negotiations. Ms. McDowell has extensive experience in representing publicly traded companies. Ms. McDowell has advised companies in all aspects of their existence from incorporation through preparing business plans, drafting private placements, registration of securities to listing on an exchange to corporate governance. Her practice includes both US and foreign companies.
Ms. McDowell has extensive experience and background in federal and state securities laws and compliance issues under the Sarbanes-Oxley Act. Ms. McDowell has previously served as general counsel for public companies as well as private companies.
In addition, Ms. McDowell advises businesses and individuals in shareholder agreements, buy-sell agreements, real estate transactions, estate planning and trust administration.
Ms. McDowell attended the University of Denver Sturm College of Law where she received numerous honors and graduated at the top of her class. Ms. McDowell served as Book Review editor for the University of Denver Journal of International Law and Policy.
Ms. McDowell has a Bachelor of Arts in International Relations from Florida International University, where she graduated with Highest Honors, and a Bachelor of Science in Computer Science from Florida International University, where she graduated with High Honors. Ms. McDowell is admitted to the California Bar, the Colorado Bar, and the United States District Court Bar. She is a member of the American Bar Association, the Colorado Bar Association, and the Santa Clarita Valley Bar Association, for which she served as its past president and a trustee for many years.
